Ⅰ. General Principles

Article 1: Alliance of Innovation and Entrepreneurship Education of China (hereinafter referred to as “The Alliance ”), English name of which is The Innovation & Entrepreneurship Education Alliance of China (abbreviated as IEEAC), is voluntarily organized by institutions of higher education and relevant enterprises and institutions. The colorful ribbons in the LOGO symbolize the convergence of various universities and relevant enterprises and institutions, and the overlapping represents the collaborative progress of alliance members, while the bright colors symbolize the vitality and initiative of innovation.

Article 2 The purpose of the alliance is to respond to and implement the "Several Opinions of the Central Committee of the Communist Party of China and the State Council on Deepening the Reform of Institutions and Mechanisms and Accelerating the Implementation of Innovation-Driven Development Strategies" and "Implementation Opinions of the State Council on Deepening the Reform of Innovation and Entrepreneurship Education in Higher Education Institutions". Under the guidance of the Ministry of Education, member universities and related enterprises and institutions jointly discuss the concepts, methods, systems and mechanisms of innovation and entrepreneurship education, and steadily promote the development of diversified and multi-level innovation and entrepreneurship education cooperation among universities across the country to achieve resource sharing, coordinated development, and common improvement. Leading China’s innovation and entrepreneurship education, accelerating the training of large-scale, innovative talents, and continuously increasing the contribution of higher education to stable growth, promoting reforms, adjusting structures, and benefiting people’s livelihoods, in order to build an innovative country and realize the "two centenary goals” and The Chinese Dream of the great rejuvenation of the China.

Article 3 The alliance receives guidance from the Ministry of Education.


II.Fundamental Principles

Article 4 Establishing principles

1.Objectives

With the goal of "strengthening inter-school and university-enterprise cooperation, jointly discussing the concept, method and system mechanism of innovation and entrepreneurship education, promoting diversified and multi-level exploration and cooperation in innovation and entrepreneurship education among colleges and universities across the country, realizing resource sharing, coordinated development and jointly leading China's innovation and entrepreneurship education",  Under the guidance of the Ministry of Education, the Alliance serves for the reform and development of national innovation and entrepreneurship education, to train entrepreneurs with innovation ability for the society, and serves for the strategy of building an innovative country and strengthening the country with talents.

2.Working Method

The alliance’s working method is: to cooperate with enterprises, cooperate with overseas famous schools, and actively carry out multi-form, multi-channel, distinctive and effective innovation and entrepreneurship education activities, serving students, alumni and teachers, and deepening innovation and entrepreneurship education reform, sharing educational resources, school innovation and entrepreneurship strategy creation and other aspects to promote the common improvement and common development of all members in the alliance.

3.T he nature of Alliance

The alliance is an open organization. After the establishment of the alliance, according to the resolution of the council, it can absorb the units with the advantages of education and teaching resources, funds and other advantages to join the alliance.

4.Voluntary Principle

Each member of the Alliance may voluntarily join or withdraw from the Alliance subject to the alliance's constitution.

5 . E quality of R ights and O bligations

The members of the Alliance shall have equal legal status, and shall, in accordance with the Articles of the constitution and other provisions, agree to share rights and interests and undertake obligations, so as to form a community of common investment, shared interests, common development and long-term stability.


III. O rganizational F orm

The alliance establishes a Council, a Directors conference and a Secretariat. The Directors Conference is the permanent decision-making body of the council, and the Secretariat is the permanent office of the council.

Article 5 The composition, decision-making system and functions of the Council

The council of the alliance is composed of the main leaders of the alliance or their designated representatives, with one chairman, several vice-chairmen, and several directors. The member units of the alliance are all governing units. The board of directors adopts a unit seat system. The member units of the alliance are governing units. The Directors conference adopts the unit seat system.

1. Directors Conference

The Directors Conference is the permanent decision-making body of the council. According to the actual work needs of the alliance, the conference can be held regularly or irregularly, and can be held multiple times a year, or can be held according to the actual situation. The conference is convened by the chairman or the deputy chairman entrusted by the chairman.

The members of the Directors conference are composed of the chairman and the vice-chairmen, and the executive directors related to the topic may be also invited. The convening of the chairman meeting is valid only if more than 2/3 of the members of the council (including this number) are present at the conference. The resolutions formed by the council shall be valid only if more than 2/3 (including the number) of the representatives (including: the members of the council and Invited executive director) agree.

Responsibilities of the directors conference

- To formulate the Constitution of the alliance

- To Listen to and review the work report and work plan of the secretariat;

- To review, approve and modify the internal management regulations of the alliance;

- To review and approve the financial budget and final accounts report.

Council Conference

The Council Conference is the highest authority of the alliance and is attended by all council members. The council Conference is convened by the chairman or the vice-chairman entrusted by the chairman. In principle, the Conference is held at least once a year. The convening of the council is valid only if more than 2/3 of the council members (including this number) are present at the meeting. The resolutions formed by the council meeting shall be valid only if more than 2/3 of the council members present (including this number) agree.

Responsibilities of the Council Conference:

-To modify the constitution of the alliance;

-To approve or cancel alliance membership;

-To approve or cancel the qualifications of the executive director of the alliance;

-Election of the chairman and vice-chairman units.

-To decide the modification and termination of the alliance organization;

-To discuss and decide other major issues affecting the development of the alliance.

3. The Chairman and Vice-chairmen

The term of the units of the chairman and vice-chairmen is five years. Both are elected by the council and can be re-elected. The chairman and vice-chairmen are respectively recommended by the chairman and vice-chairmen units. During the tenure of the chairman and vice-chairmen, in case of changes in job from the original dispatched unit, they shall resign from their posts by themselves, and the dispatching unit shall recommend candidates to take over as the chairman and vice-chairmen.

4.The Executive Director

The Executive Director unit of the alliance is approved and determined by the council conference, and its basic conditions are (1) enthusiastic about the alliance's business; (2) representative and influential in innovation and entrepreneurship education. During the tenure of a permanent director, if transferred from the original dispatched unit, the director shall resign from the post by himself, and the dispatching unit shall recommend another candidate to take over as the permanent director.


Article 6 The Secretariat

The secretariat of the alliance is located at Tsinghua University and is the permanent office of the council, responsible for the coordination and management of the alliance’s affairs and projects.

1.Responsibilities of the Secretariat

- To implement the resolutions made by the Council of the Alliance, organize, manage and coordinate all the work within the Alliance, develop its members and develop alliance’s business

-Responsible for the preparation and convening of the Directors Conference and the Council Conference; responsible for the Annual Work Summary Report and Financial Report to the Directors Conference; responsible for the formulation of the next Annual Work Plan (draft);

-To prepare annual financial budget and final account plan;

-Be responsible for accepting the application for joining the alliance, and reviewing the qualifications of the applicants;

-Be responsible for accepting applications from executive directors and reviewing the qualifications of the applicant.

2. Secretary-General ofthe Alliance

The Secretariat of the Alliance shall have a Secretary-General responsible for the work of the Secretariat. The candidate of Secretary-General shall be recommended by Tsinghua University and approved by the Conference of directors. The staff of the Secretariat shall be appointed by the Secretary-General. The Secretary-General is accountable to the Council.


IV.Membership

A rticle 7 Alliance Member

The alliance attracts colleges and universities and related enterprises and institutions with independent legal personality to become members of the alliance, enjoy the rights of alliance members, and assume the obligations of alliance members. Each alliance member is an independent legal entity, and there is no creditor's debt relationship between the alliance and the alliance members. All alliance members are members of the council.

Article 8 Rights of alliance members

-to participate in the council conference, participate in the discussion and decision on major issues of alliance development;

-to Share the alliance's various innovation and entrepreneurship education resources, participate in seminars, experience exchanges, training, competitions and other activities;

-the right to withdraw from the alliance.

Article 9 Obligations of alliance members

-To uphold and observe the Articles of association of the Alliance, and maintain the reputation of the Alliance;

-To maintain and update all kinds of resource information about innovation and entrepreneurship education of the unit in the alliance information platform in a timely manner as required.

-To promote the construction of alliance resources, improve the alliance operation mechanism, and promote the development of the alliance.


The operating mechanism of the alliance

Article 10 The operating mechanism of the alliance

Under the guidance of the Ministry of Education, the Alliance is organized by the Council and decides on important matters in accordance with the decision-making system of the Council, so as to jointly build and share educational resources for innovation and entrepreneurship.

Article 11 Operating expenses of the alliance

The alliance's operating expenses mainly come from government funds, project funds and social donations.

Project funds refer to the corresponding funds of national projects or enterprise projects obtained by the alliance. The project fund shall be managed by the project, and the alliance member units undertaking the task shall carry out comprehensive budget, process control and full cost accounting according to the project assignment.

Social donations are an important source of funds for the Alliance. The members that make important contributions to the alliance shall be proposed by the secretariat and confirmed by the governing council to become vice chairman units or executive director units of the Alliance.

The funds of the Alliance shall be used for the business scope and the development of the Alliance stipulated in the articles of Constitution, and shall not be allocated among the members. The expenses mainly include secretariat staff salary, office rent, office facilities and decoration of the Secretariat, website and platform construction and maintenance expenses, daily operation expenses of the Alliance, meeting activity funds, travel expenses, expert recruitment fees, information and publicity fees and other related expenses.

The funds of the alliance are set up by the secretariat in a special account, which is managed by a dedicated person and supervised by the board of directors. The budget and final accounts of the funds are reviewed and approved by the directors conference and implemented by the secretariat. The secretariat submits a report on income and expenditure to the directors conference every year, and accepts the financial review of relevant departments.


VI.M embership management

Article 12 Joining of the Alliance

1.Institutions of higher education applying for joining the Alliance shall submit the following application materials

- A written application to join the Alliance;

-Introduction materials of the institution;

-A written report on the work of innovation and entrepreneurship education of the institution.

2. Relevant enterprises and institutions applying to join the alliance shall submit the following application materials

-A written application to join the Alliance;

-Introduction materials of the unit;

-A written report on the educational resources for innovation and entrepreneurship.

3.The procedure for joining the Alliance

-The secretariat accepts applications for joining the alliance;

-The secretariat will review the relevant materials and qualifications, and also will be reviewed and approved by the council.

A rticle 13 Withdrawal of alliance members

When an alliance member withdraws from the alliance, it should submit a written application to the secretariat 30 working days in advance. The secretariat shall notify the directors conference within 5 working days after receiving the written application.

A rticle 14 Delisting of alliance members

If a member of the Alliance seriously violates the articles of association and other provisions of the Alliance, or damages the reputation and interests of the Alliance, or fails to fulfill the obligations of the alliance for a long period (more than one year), or does not participate in the activities of the Alliance, after verification by the Secretariat, the decision shall be submitted to the Council for consideration. The disqualified institution can’t reapply for membership after removal.


V II. Dissolution and liquidation of the Alliance

Article 15 In case of dissolution of the Alliance due to termination, dissolution, division or merger, the governing council shall put forward a proposal, vote and agree to enter into force.

The remaining property after the termination of the Alliance shall be used for the development of undertakings related to the purposes of the Alliance in accordance with the relevant regulations of the State under the supervision of a financial audit institution with auditing qualifications.


V III. Supplementary Provisions

A rticle 16 . Amendments to the articles of the constitution shall be proposed by the Governing council and become effective after discussion and approval by the Governing Council;

A rticle 17 The final interpretation right of this constitution belongs to The Innovation & Entrepreneurship Education Alliance of China

The articles of the constitution shall take effect as of the date of its official promulgation.
